Terms and Conditions

These Terms of Use (the “Terms”) are a legal agreement between STEM Minds Corp. (“STEM Minds”, “we”, “our”, or “us”) and you, the person accessing and using Crop Help, on your own behalf and (where applicable) on your child’s behalf (“you”). These Terms govern your access to and use of our websites, subdomains, downloadable applications, features, functionality, content, and related services (collectively, the “Services”).
By accessing or using the Services, you agree, on your own behalf and your child’s behalf (if applicable), to be bound by these Terms. If you do not agree, do not use the Services.
We may amend these Terms from time to time. You can tell if they changed by the effective date above. Depending on the circumstances, we may also notify you by email or in-product notice. Your continued use after changes take effect constitutes acceptance.
1) Acceptance of Terms
These Terms constitute the entire and only agreement between STEM Minds and you concerning the Services and supersede all prior or contemporaneous agreements, representations, warranties, and understandings, except where a separate signed agreement expressly states otherwise. Review these Terms before each use; if you continue using the Services after changes, you accept the updated Terms.
2) Copyright & Trademarks
All materials displayed or otherwise accessible through the Services—including text, logos, graphics, photographs, images, illustrations, video, audio, designs, and compilations (collectively, “Intellectual Property”)—are protected by Canadian and foreign copyright, trademark, and other laws. The Intellectual Property is owned by STEM Minds, its suppliers, partners, licensors, or applicable owners.
Except as expressly allowed in Section 3, copying, redistribution, publication, or any other use of the Intellectual Property or any part of the Services is strictly prohibited without prior written permission.
3) Limited Right to Use
STEM Minds grants you (and your child, as applicable) a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to:
- Access the Services to receive the functionality we make available under these Terms;
- View and print information or documentation for your personal, non-commercial, informational use in connection with the Services.
No other right or license (express or implied) is granted under any patent, trademark, copyright, or other proprietary right of STEM Minds or any third party. We may terminate this license at any time for any reason.
4) Content; Third-Party Content; Your Submissions
The Services may include content owned by third parties (“Third-Party Content”). We are not responsible for Third-Party Content. All content made available by STEM Minds through the Services, including any Third-Party Content (the “Company Content”), is owned solely by STEM Minds and/or third parties.
You may not:
- Publish, publicly perform or display, or distribute the Company Content to any third party;
- Market, sell, resell, or make commercial use of the Company Content;
- Systematically collect or harvest the Company Content (e.g., data mining, robots, scraping);
- Make derivative uses of the Services or Company Content, except as permitted by law and these Terms.
If you or your child make any information, data, or content available to STEM Minds on or through the Services (including feedback, comments, or ideas) (“User Content”), you grant STEM Minds a non-exclusive, transferable, sublicensable, irrevocable, royalty-free, perpetual, worldwide license to store, use, copy, reproduce, modify, adapt, edit, translate, publish, perform, display, and otherwise exploit such User Content in connection with the Services and our business without payment or restriction. You are solely responsible for your User Content and represent that you have the right to submit it. We may edit, summarize, or remove User Content at any time.
5) Disclaimer
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” STEM MINDS DISCLAIMS ALL REPRESENTATIONS, WARRANTIES, AND CONDITIONS, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL MEET YOUR REQUIREMENTS, BE UNINTERRUPTED OR ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED, OR THAT THE SERVICES ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
You are responsible for maintaining adequate protection and backup of your and your child’s data, hardware, and software, and for taking reasonable precautions against viruses and harmful code. If you are dissatisfied with the Services or any terms, your sole remedy is to discontinue use.
6) Indemnification
You agree to release, indemnify, defend, and hold harmless STEM Minds and its directors, officers, employees, agents, and representatives from any liability, loss, claim, and expense (including reasonable legal fees) related to your or your child’s violation of these Terms or improper use of the Services.
7) Collection, Use & Disclosure of Personal Information
Personal information collected through the Services is governed by our Privacy Policy. Please review it carefully.
8) Children
The Services are not intended for individuals under 13, unless STEM Minds has received verifiable consent from a parent or legal guardian. See the Privacy Policy for more information.
9) No Harmful Use (Acceptable Use)
You agree not to introduce into or through the Services any information or material that may be harmful to others. Without limitation, you shall not:
- Upload, post, transmit, publish, or distribute any material containing viruses, malware, or destructive code;
- Attempt unauthorized access to any systems, networks, or restricted areas of the Services;
- Violate any law or regulation, or interfere with another user’s use of the Services;
- Forge, alter, or modify any agreements, policies, or information posted on the Services;
- Transmit content that is unlawful, harmful, threatening, harassing, defamatory, obscene, or invasive of privacy;
- Delete or revise any material posted by another person or entity without authorization.
10) Suspension & Termination
We may suspend or terminate your (or your child’s) access to the Services at any time without notice for any reason, including breach of these Terms. To the extent permitted by law, disclaimers, limitations of liability, interpretive provisions, and your warranties and indemnities survive termination. Prepaid amounts, if any, may be refunded on a pro-rata basis where termination is not due to your breach.
11) Third-Party Websites
Third-party websites or services accessible via links have been independently developed by others. STEM Minds does not endorse or warrant such resources and is not responsible for their content or practices. Review the terms and privacy policies of any third-party resources before using them.
13) Electronic Documents
This electronic document, and all electronic documents referred to or incorporated herein, are deemed “in writing” and legally enforceable as signed agreements.
14) General
- Governing law & venue: These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. You agree to the exclusive jurisdiction of the courts of Ontario, Canada.
- Language: You and STEM Minds agree that these Terms and all related documents are in English. Nous avons demandé que cette convention ainsi que tous les documents qui s’y rattachent soient rédigés en anglais.
- Severability: If any part is invalid or unenforceable, the remainder remains in full force and effect.
- No waiver: Failure to enforce any provision is not a waiver.
- Assignment: You may not assign these Terms without our prior written consent; we may assign to an affiliate or successor.
- Entire agreement; precedence: These Terms form the entire agreement. If there’s a conflict with a signed order form, the order form controls.
- Force majeure: Neither party is liable for delays or failures due to events beyond reasonable control.
15) Notification of Changes
We may notify you by email on record of (i) any unauthorized access/breach, (ii) material changes to our Privacy Policy, and (iii) material changes to these Terms.
